General Terms of Sale

2. Scope

These general terms of sale (GTS) apply to all sales of AUVEL Premium sunflower vegetable oil concluded by AM FLOM INTERNATIONAL with business customers (restaurants, catering, food industry, wholesalers and distributors). They form the basis of commercial negotiations in accordance with Article L441-1 of the French Commercial Code.

Any order implies acceptance of these GTS. Specific conditions set out in a quote or commercial offer accepted in writing prevail over these GTS. The customer's general terms of purchase are only enforceable after written acceptance by AM FLOM INTERNATIONAL.

Sales to consumers (private individuals) are excluded.

3. Products

The products are offered in 1 L bottles and in 5 L, 10 L and 18 L containers. The characteristics, packaging, country of production and composition appear on the labelling and on the technical data sheet of each product, available on request. The visuals on the website are provided for information only.

4. Quotes and orders

Every order is preceded by a quote issued by AM FLOM INTERNATIONAL. The quote specifies the products, quantities, prices, payment terms, place and time of delivery, and its period of validity. The order becomes firm upon receipt of the signed quote or the customer's written acceptance and of the 30% deposit provided for in Article 6.

Orders are for full trucks (24 pallets per truck) or full containers, unless otherwise agreed in writing. The customer provides its company registration number (SIREN or SIRET) or, if established in another Member State of the European Union, its intra-Community VAT number. AM FLOM INTERNATIONAL may refuse any order from a customer with whom there is a payment dispute.

5. Prices

Prices are expressed in euros excluding taxes. VAT and applicable taxes are invoiced in addition at the rate in force. The applicable price is that of the accepted quote. Transport is included in the price for any order by full truck or full container, up to the place of delivery stated in the quote.

In accordance with Article L441-1 of the French Commercial Code, the unit price list is provided to any business customer on request.

6. Payment

Unless otherwise specified in the quote, the price is payable according to the following schedule:

The goods only leave the factory once the full price has been received. Payments are made by bank transfer to the account stated on the invoice. No discount is granted for early payment.

If the customer cancels the order after paying the deposit, the deposit is retained by AM FLOM INTERNATIONAL, unless otherwise agreed in writing.

Any late payment automatically entails, without prior formal notice, late payment penalties equal to three times the French statutory interest rate, as well as a fixed indemnity for recovery costs of €40 (Articles L441-10 and D441-5 of the French Commercial Code). Additional compensation may be claimed on presentation of evidence if the costs incurred are higher. In the event of late payment of the balance, the delivery date is postponed accordingly.

7. Delivery

Delivery takes place at the place and on the date agreed in the quote. Delivery times are given for information only; a reasonable delay cannot give rise to cancellation of the order or to damages. The customer ensures that the place of delivery is accessible to a heavy goods vehicle and has the necessary unloading equipment.

8. Receipt and claims

The customer inspects the goods on delivery, in the presence of the carrier. Any missing items or visible damage must be precisely noted on the delivery note or consignment note (CMR), then confirmed to the carrier by registered letter within 3 working days of receipt (Article L133-3 of the French Commercial Code) or, for international transport, within the time limits set by the Convention on the Contract for the International Carriage of Goods by Road (CMR), with a copy to AM FLOM INTERNATIONAL.

Claims relating to product conformity must be sent in writing to info@am-flominternational.com within 8 days of delivery, together with supporting evidence (photos, batch numbers). No return is accepted without prior written agreement.

9. Transfer of risk and retention of title

Risks pass to the customer on delivery. AM FLOM INTERNATIONAL retains ownership of the goods until full payment of the price (Articles 2367 et seq. of the French Civil Code). In the event of non-payment, AM FLOM INTERNATIONAL may take back the goods at the customer's expense.

10. Storage and use

The products must be stored away from light, heat and humidity, in their original packaging, and used before the best-before date stated on the label. AM FLOM INTERNATIONAL cannot be held liable for any deterioration due to improper storage or use after delivery.

11. Liability and force majeure

The liability of AM FLOM INTERNATIONAL is limited to the amount of the order concerned. It cannot be engaged in the event of force majeure within the meaning of Article 1218 of the French Civil Code, in particular strikes, bad weather, transport blockades, supply disruption at the factory or administrative decisions.

12. Personal data

The processing of the customer's personal data (purposes, recipients, retention periods and rights) is described in the Privacy Policy of AM FLOM INTERNATIONAL (in French). For any request: info@am-flominternational.com.

13. Governing law and disputes

These GTS are governed by French law, excluding the United Nations Convention on Contracts for the International Sale of Goods (Vienna, 11 April 1980). Failing an amicable settlement, any dispute relating to their interpretation or performance falls under the exclusive jurisdiction of the Commercial Court of Meaux (France).
